By engaging with the services of Shineing Digital LLP (hereinafter referred to as "the Company"), the Client agrees to be legally bound by the terms and conditions set forth herein. These terms constitute a binding agreement between the Client and the Company regarding the provision of digital services.

Upon full settlement of all outstanding invoices, the Company grants the Client a non-exclusive, perpetual license to use the final deliverables (website, mobile application, or software) for their intended business purpose. However, the Company retains ownership of all underlying code libraries, frameworks, and proprietary methodologies used to create said deliverables.

The Client agrees to provide all necessary assets (including text, images, credentials, and API access) strictly within the agreed timeline. Any delay in the provision of these materials may result in a commensurate extension of the project delivery deadline.

To the fullest extent permitted by law, Shineing Digital LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from the use or inability to use the service.

For all custom development engagements, the following payment schedule is strictly enforced:

• Initial Deposit (90%): An advance payment of 90% of the total project value is required to formally commence the project and allocate resources.
• Final Settlement (10%): The remaining 10% balance is due immediately upon project completion and prior to the deployment of the project to a live server or the handover of source code.

For services involving Digital Marketing (SEO, SMO, PPC) and Ready-made Software Solutions:

• 100% Advance Payment: Full payment is mandatory prior to the activation of services or software licensing. No work shall commence until the payment has been cleared in full.

All payments made to Shineing Digital LLP are final and non-refundable. By signing up for our services, the Client acknowledges that the Company incurs costs for resource allocation, tools, and man-hours immediately upon project initiation. Therefore, no refunds will be issued for any cancellations, partial usage, or change of mind once payment has been processed.

The Company provides a complimentary Technical Support period of Maximum 30 Days commencing from the date of final delivery. This support is strictly limited to bug fixing and the resolution of errors inherent to the delivered code.

Upon the expiration of the complimentary 30-day period, all further support, maintenance, updates, or feature enhancements shall be classified as Paid Services. Such services will be charged based on the scope of work or via an Annual Maintenance Contract (AMC) as agreed upon by both parties.

This Agreement shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach thereof, shall be subject to the exclusive jurisdiction of the courts located in Kota, Rajasthan. The Client hereby waives any objection to such venue based on grounds of inconvenient forum.
